Preamble
GOODSPOTS is a French company registered with the Trade and Companies Register (RCS) of NANTES under number 102 963 733.
Through the website "goodspots.app" and the GOODSPOTS mobile application, GOODSPOTS offers its customers digital services to support travel in vans and motorhomes, such as:
- Parking spots and services
- Travel stories and country-specific documentation
- Caravanning classified ads
GOODSPOTS also offers its customers a subscription providing access to advanced features.
These Terms of Sale apply without restriction or reservation to all Services sold by GOODSPOTS as part of its activities.
Article 1 - Definitions
GOODSPOTS : refers to the French company registered with the RCS of NANTES under number 102 963 733.
Site : refers to the website hosted under the domain name "goodspots.app".
Application : refers to the mobile application, available on iOS or Android mobile devices, providing access to the GOODSPOTS Services.
Customer : refers to any natural or legal person, whether private individual or professional, who subscribes to a subscription plan on the Site.
Services : refers to the Services offered by GOODSPOTS to the Customer, both via the Site and via the Application.
Order : refers to the Customer's act of subscribing to a Subscription for a license.
Subscription : refers to the open-ended subscription contract for one of the paid licenses offered on the Site, entered into between the Customer and GOODSPOTS.
Terms of Sale or ToS : refers to these Terms of Sale, which apply to any Customer purchasing the Services offered by GOODSPOTS.
Terms of Use or ToU : refers to the Terms of Use that apply to any user accessing the GOODSPOTS Site.
Party(ies) : refers jointly or separately to GOODSPOTS and the Customer.
Price : refers to the unit value of an ordered Product, this value being inclusive of all taxes.
Any reference to the singular includes the plural and vice versa.
Any reference to one gender includes the other gender.
Article 2 - Purpose and scope
The purpose of these Terms of Sale (ToS) is to define the terms under which the Site is made available, the conditions of subscription, and the rights and obligations of the Parties in connection with the sale of the Services by GOODSPOTS to the Customer.
Any subscription to the Services entails the Customer's unreserved acceptance of and full adherence to these Terms of Sale, which prevail over any other document.
The Customer declares that they have full legal capacity to enter into these Terms and Conditions and undertakes to ensure compliance therewith by all of their employees, agents and representatives, where applicable.
Article 3 - Subscription enrollment
3.1. Subscription plans
Before placing any Order, the Customer has access to the free version of the GOODSPOTS Services, with no time limit.
The free plan provides, in particular, and subject to creating an account in accordance with the Terms of Use (ToU), access to the map and to the various spots listed, with detailed information, weather forecasts, travel guides, the ability to leave comments, and so on.
GOODSPOTS offers two Subscription plans providing access to advanced features of the Services:
- Monthly subscription at €2.99 incl. tax per month;
- Annual subscription at €12.99 incl. tax per year, with a 7-day free trial.
Subscribing to either Subscription plan grants access, in addition to the features offered for free, to several Services, such as itinerary planning, fuel price information, the ability to manage a list of favorite spots, the export of data related to your favorite spots and itineraries, and a satellite view of the map.
3.2. Enrollment procedure
The Customer must have the legal capacity to enter into a contract.
The Subscription must be taken out via the GOODSPOTS mobile application, which can be downloaded from Apple's AppStore for mobile devices using iOS, and from Google's Google Play store for mobile devices using Android, namely:
Subscription enrollment is carried out via the GOODSPOTS Application, on the "Profile" page, then in the "Subscription" tab.
Once the Subscription offer has been selected, a subscription confirmation window, via the AppStore or Google Play, is displayed in order to confirm validation of the payment and thus enrollment in the subscription.
Premium features are available immediately upon enrollment in the Subscription.
3.3. Term
The Subscriptions offered on the Site and the Application are entered into as of the Customer's enrollment in the Subscription.
The Subscription is for an indefinite term and is set according to the subscription option selected by the Customer, namely:
- A term of one (1) month, tacitly and indefinitely renewable for successive periods of one (1) month on the anniversary date;
- A term of one (1) year, tacitly and indefinitely renewable for successive periods of one (1) year, on the anniversary date.
It is specified that subscribing to an annual Subscription grants the Customer a free trial period of seven (7) days. The Subscription start date then begins at the end of this seven (7) day trial period.
This trial period is reserved for new Customers, that is, any Customer who has not previously subscribed to a Subscription offer.
The Subscription renews indefinitely until canceled by the Customer, such cancellation having to occur at least 24 hours before the end of the current Subscription period.
3.4. Cancellation of the Subscription
The Customer's cancellation of their Subscription is performed directly through Apple's and Google's services, depending on the Customer's device.
For Customers using an iOS smartphone (Apple), subscription cancellation is performed via the "Settings" application, then the "Apple Account" tab, and the "Subscriptions" tab, which allows management of subscriptions taken out via the AppStore.
For Customers using an Android smartphone (Google), subscription cancellation is performed directly via the Google Play application, in the settings, then the "Payments and subscriptions" tab, which allows management of subscriptions taken out via Google Play.

Such cancellation of the Subscription does not give rise to any refund from GOODSPOTS.
As a general rule, GOODSPOTS does not respond to any request for refund of the subscription price.
For any refund request, the Customer shall contact Apple's and Google's services directly, in accordance with their Terms and Conditions:
The canceled Subscription thus runs until the end of the initial period provided for, namely until the end of the current month for monthly Subscriptions, or until the end of the current year for annual Subscriptions, it being specified that the services are maintained until that date.
The Subscription may be canceled at any time during the seven (7) day trial period.
Article 4 - Pricing terms and payment methods
4.1. Subscription price
The price of the Services is indicated at the time of online enrollment, namely:
- Monthly subscription at €2.99 incl. tax per month;
- Annual subscription at €12.99 incl. tax per year.
Prices are expressed in euros, inclusive of all taxes.
Where applicable, the prices of Subscriptions are displayed and calculated automatically in your local currency.
Prices are payable upon enrollment in the Subscription offer, and upon each renewal of the Subscription, whether monthly or annually.
GOODSPOTS reserves the right to modify the price of the Subscription at any time, and will take care to inform already-subscribed Customers sufficiently in advance, in order to allow them to terminate their subscription if they so choose.
4.2. Payment methods
The Services are payable online via the application and the services of Apple's AppStore or Google's Google Play Store.
For monthly Subscriptions, payment is made at the time of enrollment, and is automatically renewed each month on the enrollment date.
For annual Subscriptions, payment is made at the end of the seven (7) day trial period following enrollment in the Subscription, and is automatically renewed each year on the anniversary date of subscription enrollment.
Since payment for the Subscription is made through the third-party services of Apple and Google, their Terms and Conditions are accepted by the Customer, are fully applicable, and can be accessed via the following links:

Article 5 - Delivery
The Services granted by enrollment in a Subscription will be accessible immediately upon enrollment in the Subscription.
Article 6 - Right of withdrawal
The Customer is informed that, in accordance with Article L. 221-18 of the French Consumer Code, they have a 14-day right of withdrawal after enrolling in their Subscription.
Furthermore, the Customer is also informed that, in accordance with Article L221-28 13° of the French Consumer Code:
"The right of withdrawal may not be exercised in respect of contracts: [...] for the supply of digital content not provided on a tangible medium, the performance of which has begun before the end of the withdrawal period and, where the contract places the consumer under an obligation to pay, where: a) the consumer has given prior express consent for performance of the contract to begin before the expiration of the withdrawal period; and b) the consumer has acknowledged that they will lose their right of withdrawal; and c) the trader has provided confirmation of the consumer's agreement in accordance with the provisions of the second paragraph of Article L. 221-13."
Thus, upon enrollment in the Subscription, and given the nature of the Services sold, the making of payment and use of the Services before the end of the withdrawal period, the Customer acknowledges:
- Having been previously informed of the existence of their right of withdrawal;
- Consenting to the use of the Services before the end of the withdrawal period;
- Thereby losing their right of withdrawal.
Accordingly, and in light of the foregoing, the Customer will not be able to exercise a right of withdrawal after enrollment in a Subscription with GOODSPOTS, and at the end of the 7-day trial period, where applicable.
Indeed, the Customer who benefits from a seven (7) day trial period may cancel their subscription at any time during this period.
Article 7 - Complaints
In the event of a complaint or question regarding the use of the Services, the Customer may contact GOODSPOTS at the following address: contact@goodspots.app.
Article 8 - Personal data
The personal data collected from Customers is subject to electronic processing carried out by GOODSPOTS. It is recorded in its Customer file and is essential for processing the order. This information and personal data are also kept for security purposes, in order to comply with legal and regulatory obligations. They will be retained for as long as necessary for the performance of orders and any applicable warranties.
The data controller is GOODSPOTS. Access to personal data will be strictly limited to employees of the data controller, authorized to process such data by virtue of their duties. The information collected may, where applicable, be communicated to third parties contractually linked to the company for the performance of subcontracted tasks, without the Customer's authorization being required.
In the course of providing their services, third parties have only limited access to the data and are required to use it in compliance with the provisions of applicable legislation on the protection of personal data. Apart from the cases set out above, GOODSPOTS undertakes not to sell, rent, transfer or grant access to the data to third parties without the Customer's prior consent, unless compelled to do so for a legitimate reason.
In accordance with applicable regulations, the Customer has a right of access, rectification, erasure and portability of the data concerning them, as well as the right to object to the processing for legitimate reasons, rights they may exercise by contacting the data controller at the following email address: contact@goodspots.app.
Article 9 - Customer obligations
The Customer shall use GOODSPOTS' Services in accordance with their intended purpose, namely digital services to support travel in vans and motorhomes, and warrants against any misuse, non-compliant or unlawful use of the said services with regard to applicable regulations.
Article 10 - Liability
The Services offered for sale by GOODSPOTS comply with applicable French legislation.
GOODSPOTS is bound only by an obligation of means in performing the Services offered on the Site and the Application.
GOODSPOTS' liability may only be incurred toward the Customer for facts directly attributable to it and which have caused direct harm to the Customer.
GOODSPOTS undertakes to use its best efforts to secure access to and use of the Site and is free to choose the most appropriate form and technical means to make all of the Site's features available to users.
The Site and the Application will be accessible 24 hours a day, 7 days a week.
By way of exception, the Site and the Application may be temporarily unavailable during corrective or evolutive maintenance operations necessary for the proper functioning of the Site and in the event of an occurrence beyond GOODSPOTS' control.
In the event of a technical failure affecting the operation of the Site or the Application, GOODSPOTS undertakes to use its best efforts to restore the Site's operation as soon as possible.
GOODSPOTS may not be held liable for external intrusions, the presence of computer viruses in the Customer's computer system using the Site or the Application, the possible consequences of any total or partial alteration of the operation of the Site or the Application resulting from misuse thereof by the Customer, or the malfunction or slowness of the Customer's telecommunications network.
Article 11 - Force majeure
The Parties may not be held liable if the non-performance or delay in the performance of any of their obligations, as described herein, results from a case of force majeure, within the meaning of Article 1218 of the French Civil Code.
The Party invoking the circumstances referred to above must immediately notify the other party of their occurrence, as well as of their cessation.
Shall be considered as cases of force majeure all irresistible facts or circumstances external to the Parties, unforeseeable, unavoidable, beyond the Parties' control, and which cannot be prevented by the latter, despite all reasonably possible efforts.
Are notably considered as cases of force majeure or fortuitous events, in addition to those usually retained by applicable legislation and French case law:
- The blockage of means of transport or supply;
- Bad weather and natural disasters (earthquakes, fires, storms, floods, lightning);
- The blockage of communication networks and systems;
- Total or partial strikes, lock-outs, boycotts or similar events;
- Cyberattacks by hackers.
Article 12 - Intellectual property
The entire Site, its name, its architecture, its databases or its visual or audio content (in particular texts, images, videos and any other document), as well as the trademark, logos, and other distinctive signs, and more generally the Site's graphic charter, with the exception of free content, remain the property of GOODSPOTS, in accordance with French law.
The total or partial reproduction, transmission or representation, on any medium and by any means, of GOODSPOTS' intellectual property rights must first be the subject of a written agreement. In all cases, the source shall be indicated.
Any unauthorized total or partial reproduction, transmission or representation of GOODSPOTS' intellectual property rights is therefore strictly prohibited and is liable to constitute infringement.
The use of links pointing to the site is nevertheless permitted, GOODSPOTS reserving the right to request the removal of any reference to the site, including images, logos, screenshots, mentions and links, if their use is contrary to the purpose of the site.
The Customer remains the owner of the intellectual property rights to the content, in particular spots and listings, that they publish on the Site.
By publishing content, the Customer grants GOODSPOTS, on a non-exclusive and free-of-charge basis, the right to use such content worldwide and for the entire duration of its publication, solely for the purposes of the operation, display, maintenance and promotion of the Site.
This authorization in particular allows GOODSPOTS:
- to host, reproduce, distribute and translate the content on the Site;
- to adapt it technically (format, size, quality), without altering its meaning.
GOODSPOTS undertakes not to exploit the content for commercial purposes independent of its service without the User's consent and to respect their moral rights.
The Customer warrants that they hold the rights to the content uploaded and that such content does not infringe third-party rights.
Article 13 - Modification of the Terms of Sale
GOODSPOTS reserves the right to adapt and/or modify these Terms of Sale at any time in order to comply with legislative, regulatory and/or case-law developments.
Where applicable, the new Terms of Sale will apply only to sales made after the modification and/or adaptation.
Article 14 - Severability and interpretation
If any of the provisions of these ToS were to be annulled, such nullity would not entail the nullity of the other provisions of the Terms, which shall remain in force.
In the event of any difficulty in interpretation between any of the headings appearing at the top of the clauses and any of the clauses, the headings shall be deemed non-existent.
Article 15 - Applicable law - Language
These Terms and Conditions and the transactions arising therefrom are governed by and subject to French law.
In the event of a dispute or claim, the Customer shall first contact GOODSPOTS to seek an amicable resolution.
These Terms and Conditions are drafted in French. Should they be translated into one or more foreign languages, only the French text shall be deemed authoritative in the event of a dispute.
Article 16 - Jurisdiction and dispute resolution
Disputes that may arise between GOODSPOTS and the Customer shall be the subject of an attempt at amicable resolution prior to any legal action.
In the event of a dispute between the Customer and GOODSPOTS relating to the ToS, the Customer is informed that, in accordance with the provisions of the French Consumer Code, a referenced mediator may be contacted directly to initiate mediation.

At the end of the mediation, the mediator will propose a solution.
The parties remain free to accept or refuse the use of mediation as well as, if mediation is used, to accept or refuse the solution proposed by the mediator.
Failing an amicable agreement between the Parties, any dispute shall be brought before the courts within the jurisdiction of GOODSPOTS' registered office, including in the event of multiple defendants, this being expressly accepted by the Customer.
